Month-to-Month Web Services Agreement
Services Provided
The Service Provider agrees to provide the following web services to the Client on a month-to-month basis:

Term

This Agreement will commence on today (on the first payment) and will continue on a month-to-month basis until terminated by either party as described in Section 5 of this Agreement.

Fees and Payment

  • The Client agrees to pay the Service Provider [Amount] per month for the services described above.

  • Payments will be made via [Payment Method] to the following account or address: [Payment Details].

Client Responsibilities

The Client agrees to provide the Service Provider with all necessary access and information required to perform the services.
The Client will ensure that all content and materials provided to the Service Provider comply with all applicable laws and regulations.

 Termination

  • Either party may terminate this Agreement with [Number] days’ written notice to the other party.
  • The Service Provider may terminate this Agreement immediately if the Client fails to make payments or breaches any terms of this Agreement.
  • Upon termination, the Service Provider will cease providing services and deliver any outstanding work or data as agreed.

 Confidentiality

Both parties agree to keep any confidential information disclosed during the term of this Agreement confidential and not to disclose it to any third parties without prior written consent.

Limitation of Liability

The Service Provider’s liability for any claim arising out of this Agreement will be limited to the total amount paid by the Client for the services in the month preceding the claim.

Governing Law

This Agreement will be governed by and construed in accordance with your provincial laws and the federal laws of Canada.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations, whether oral or written, regarding the subject matter.

Amendments

Any amendments or modifications to this Agreement must be made in writing and signed by both parties.

Year-to-Year Web Services Agreement

Services Provided

The Service Provider agrees to provide the following web services to the Client on an annual basis:

Termination

Fulfillment of Term: Since the service is prepaid for a one-year term, the Client is obligated to fulfill the entire term of this Agreement.
Mutual Termination: Both parties may agree to terminate this Agreement before the end of the term. In such a case, a mutually acceptable termination agreement must be reached.
Immediate Termination by Service Provider: The Service Provider may terminate this Agreement immediately if the Client fails to make payments or breaches any terms of this

Agreement.

Post-Termination: Upon termination, the Service Provider will cease providing services and will deliver any outstanding work or data as agreed. No refunds will be provided for prepaid amounts.

Confidentiality

Both parties agree to keep any confidential information disclosed during the term of this Agreement confidential and not to disclose it to any third parties without prior written consent.

Web Development Agreement

Services Provided

The Service Provider agrees to design and develop a website for the Client according to the specifications outlined in the attached proposal or statement of work.

 Project Milestones

Deposit: A deposit of 50% of the total project fee is required to commence work. This deposit is non-refundable.
Completion and Approval: The remaining balance will be invoiced upon completion of the website design and development. The project is considered complete upon the Client’s written approval of the final deliverables.

Fees and Payment

Total Project Fee: [Stipulated in the quote]
Deposit: 50% of the total project fee is due upon signing this Agreement.
Remaining Balance: The remaining balance will be invoiced upon the Client’s approval of the completed website.
Payment Terms: The Client agrees to pay the remaining balance within [3] days of receiving the invoice.

Web Hosting and Domain Registration

Web Hosting: The web hosting service will be prepaid for a 12-month term. The hosting fee is non-refundable.
Domain Name Registration: The domain name registration will be prepaid for a 12-month term. The registration fee is non-refundable.
Additional Costs: Any additional costs for web hosting or domain registration beyond the initial 12-month term will be the responsibility of the Client.

Client Responsibilities

The Client agrees to provide all necessary content, materials, and information required for the website development.
The Client will provide timely feedback and approvals to facilitate the project’s progress.

Approval Process

Presentation of Options: Prior to the start of the project, the Service Provider will present the Client with a number of design options based on professional recommendations.
Selection and Commitment: Once the Client selects an option from those presented, this choice will be considered the full commitment for the work to be applied under this Agreement.

Changes Post-Commencement: If the Client wishes to change their selection after the work has begun and the deposit has been paid, such changes will be regarded as a new project. This will require a separate agreement and will be subject to additional costs and terms unrelated to the original mandate.

Initial Drafts: The Service Provider will provide the Client with drafts of the website for review and feedback based on the selected option.
Revisions: The Client is entitled to [Number] rounds of revisions on the selected option. Additional revisions beyond this scope will incur extra charges.
Final Approval: The website is considered complete when the Client provides written approval of the final design based on the selected option.

Additional Work

Any additional work or services requested by the Client beyond the scope of this Agreement will be considered a separate project.
Such additional work will require a new agreement and be subject to separate costs and terms unrelated to the original mandate.

Termination

Client Termination: If the Client wishes to terminate the Agreement before the project is completed, the deposit will be forfeited. Any work completed up to the termination point will be delivered to the Client.

Service Provider Termination: The Service Provider may terminate this Agreement if the Client fails to provide necessary information or breaches any terms. In such cases, the deposit will be forfeited, and any work completed up to the termination point will be delivered.

Confidentiality

Both parties agree to keep confidential information disclosed during this Agreement’s term confidential and not disclose it to any third parties without prior written consent.
